Job description: Job Description:The M&A team act as a center of expertise in the end to end management and execution of mergers and acquisitions and joint ventures. The candidate for this role would report to the Vice President – M&A, Funding and Projects (VP) and participate as a senior member of the team and manage the full cycle of transaction execution.Responsibilities:Core ResponsibilitiesM&A end to end management and execution:

  • Maintaining relationships with potential advisors incl. financial, tax, commercial, technical and legal advisors, industry experts etc.
  • Manage M&A process with project specific lead for managing Valuation, Financial Due Diligence (FDD) and Tax Due Diligence (TDD).
  • Manage Commercial Due Diligence (CDD) alongside corporate commercial.
  • Valuation of the target company both at the Non-Binding Offer (NBO) and Binding Offer (BO) stage incl. managing preparation of Fin Model (for valuation and analysis) of the target company.
  • Act as the common and first point of contact for all external parties including sellers and their advisors in the transaction.
  • Assist VP and legal team in reviewing various documents including Sale and Purchase Agreement (SPAs), Shareholders Agreement (SHAs), Transition Services Agreement TSA’s, Heads of Terms (HoT), NBO’s and BO’s etc.
  • Manage calculation of closing accounts / determining acquisition payout.
  • Prepare investment presentations to senior management, Investment Committee, Strategy and Investment Committee, BoD etc.
  • Manage timely and appropriate monitoring and completion of project specific CPs to ensure M&A closing.
  • Support accounting team in determining optimal accounting treatment of acquisitions / JV companies and PPA process.
  • Work closely with the Post merger integration team to support in providing required handover for a successful integration.

People Management Responsibilites:

  • Assists in the ongoing training and development of UAE National employees, incl. assessing training and development needs, preparation of development / familiarization programs, monitoring and counseling employees as required.

Qualifications:

  • Bachelor’s degree with CA / CFA / ACCA / MBA certifications
  • Experience having worked on numerous successful M&A transactions
  • Advance Microsoft excel, PowerPoint incl. financial modelling experience
  • Experience of preparing and presenting findings for senior management
  • Strong communication and negotiation skills
  • Ability to work independently and lead M&A and project team
  • Ability to handle multiple projects and tasks in a fast-paced environment
